Kemp Little advises Top10.com Media Limited on the acquisition of the Top10.com domain name

Kemp Little advised the team behind Top 10 Broadband and Top 10 Mobile Phones (together the UK’s most popular comparison sites in the telecoms sector) on its acquisition of the domain name Top10.com from Idealab.  The cash and equity deal values the domain name at over US$1m, making it one of the most expensive domain purchases ever by a UK company, and the company will be rebranded as Top10.com Media Limited.  As part of the deal, which gives Idealab a 7% share in the company, Bill Gross will join the advisory board.

Kemp Little acted for The Parkmead Group Plc, a special investment company focussing on the Oil and Gas Exploration and Production sectors, on the acquisiton of Aupec hrough the issue of 235.3 million shares and £1 million in case. Aupec is a respected global authority in energy sector economics, valuation and benchmarking services. The transaction required shareholder approval including for a rule 9 whitewash.

Kemp Little advises eTelecare Global Solutions (now part of Stream) on the acquisiton of the Phone House Group, a subsidiary of the Talk Talk Group (part of Carphone Warehouse)

Kemp Little acted for eTelecare Global Solutions (a provider of business process outsourcing solutions backed by Providence private equity and Ayala) on the acquisitoin of The Phone House, a South African BPO subsidiary of the Talk Talk Group. In conjunction with the acquisition Kemp Little acted for eTelecare on a three year agreement to provide BPO services to Talk Talk Group customers.

Kemp Little acted for SQS (tthe Frankfurt and London listed global leader in independent software testing and quality management services) on the acquistion of Verisoft InfoSystems and Verisoft InfoServices, a group of independent software testing companies based in India with subsidiaries in the UK and the US. Under the agreement SQS acquired 75% of the issued share capital with an option to purchase the remaining shares. The consideration was a mix of cash and shares.
