Limits on self-ratification
The recent case of Goldtrail Travel Ltd v Aydin and others  EWHC 1587 (Ch) appears to reframe the limits of the Duomatic principle to enable shareholders (and director-shareholders in particular) to ratify actions of directors.
The Duomatic principle, which takes its name from the case of Re Duomatic  2 Ch 365, states that a decision reached informally by all shareholders who have a right to vote at a general meeting is taken to be as binding as a resolution passed at a general meeting. Sub-sections 239(3) and 239(4) of the Companies Act 2006 provide that votes of a director must be discounted from any resolution ratifying breach of duty by that director. However, section 239(6)(a) states that “the validity of a decision taken by unanimous consent of the members of the company” is not affected by the remaining provisions of section 239. The general consensus is that in such circumstances the Duomatic principle still applies, but the courts have again sought to place limits on the scope of the principle.
The Goldtrail case concerned a tour operator which was placed into administration, leaving thousands of its customers stranded in holiday destinations. The business subsequently went into liquidation and one of the claims it brought was against its sole director and shareholder for breach of fiduciary and statutory duties. The Chancery Division allowed the claim on the basis that the director-shareholder was unable to ratify his own breach. This is in line with the decision last year in Madoff Securities International Ltd v Raven and others  EWHC3147 where use of the Duomatic principle was also denied for a director who breached his duty to act in accordance with the company’s constitution (although the judge was at pains to note in the Madoff case that Duomatic would not necessarily be unavailable to ratify other breaches).
As both Goldtrail and Madoff involved insolvent companies, the main conclusion to be drawn is that a company’s financial circumstances may mean that director-shareholders need to be particularly aware of the need for compliance. Where a company is in such financial trouble that, at common law, the requirement to consider interests of creditors arises, sole director-shareholders can find themselves in a difficult position where any breach of their duties is incapable of remedy.
